Software License Terms and Conditions

1. Grant of License

Upon full payment, the customer is granted a non-exclusive, non-transferable right to use the delivered software.

The use of the software is limited to the scope agreed upon in the respective contract.
 

2. Intellectual Property Rights

All copyrights, intellectual property rights, source codes, algorithms, concepts, documentation, and further developments remain the exclusive property of IDENTYTEC.

No transfer of ownership rights shall take place.

3. Permitted Use and Restrictions

The following activities are expressly prohibited unless explicitly permitted by mandatory statutory law:

• Resale or distribution

• Sublicensing

• Rental or leasing

• Publication or making the software publicly available

• Reverse engineering, decompilation, or disassembly

4. Backup Copies

The customer may create reasonable backup copies of the software, insofar as this is necessary for operational use.

5. Updates and Enhancements

Where maintenance services have been agreed, the customer shall receive access to provided updates.

There is no entitlement to new features or custom developments unless explicitly agreed in writing.

6. Open Source Components

If the software contains open-source components, the respective license terms of the relevant rights holders shall apply in addition to these terms.

7. Termination of License

Upon termination of the usage agreement, the right to use the software shall expire.

The customer shall delete all copies of the software, unless statutory retention obligations apply.

8. Liability

Liability shall be governed by the applicable General Terms and Conditions of IDENTYTEC.
